Sales of Olainfarm in October grow by 22%

According to preliminary consolidated results of JSC Olainfarm for October 2016, sales of the group have reached 10.18 million euros, which represents an increase by 22% compared to the same period one year ago. The biggest sales increase was achieved in Uzbekistan, where sales grew by 220%. Sales to Russia grew by 94% but sales to Kyrgyzstan grew by 71%. During October, JSC Olainfarm also made significant shipments to The Netherlands, Germany and Georgia. Biggest sales markets during October were Russia, Latvia and Ukraine.

Sales of pharmacy chain of Latvijas aptieka Ltd. during October 2016 were 1.62 million euros, which represents an increase by 1% compared to the same period one year ago. Sixty-four pharmacies were operating during this period. Sales of Latvian green pharma company Silvanols during October 2016 were 0.53 million euro, which represents an increase by 36% compared to sales this company made during October 2015. During this period, Silvanols Ltd. sold its products to eight European countries and with assistance from JSC Olainfarm also to Russia, Kazakhstan and Azerbaijan. Sales of elastic medical materials producer Tonus Elast Ltd. during October 2016 were 0.87 million euros, the company was making its sales to 16 countries in three continents.

According to preliminary results, in ten months of 2016, consolidated sales of JSC Olainfarm reached 88.69 million euros, which represents an increase by 9% compared to the same period of 2015. The most rapid sales increase during this ten months period was achieved in Uzbekistan, where sales grew by 85%. Sales to Ukraine grew by 25%, sales to Turkmenistan and the UK each grew by 24%. The major sales markets during ten months were Russia, Latvia, Ukraine and Belarus.

Sales of pharmacy chain of Latvijas aptieka Ltd. in ten months were 15.5 million euros, which represents an increase by 12% compared to ten months of last year. Sales of Silvanols Ltd. in ten months were 4.21 million euros, which represents an increase by 28% compared to the same period of 2015, when Silvanols’ sales were 3.3 million euros. Silvanols Ltd. made its sales to thirteen European countries and with assistance of JSC Olainfarm also to Albania, Kosovo, Azerbaijan, Kazakhstan, Belarus, Lithuania and Russia. Sales of Tonus Elast Ltd. in five months was 3.53 million euros, its products were sold to 30 countries in four continents.

According to preliminary unconsolidated results, sales of JSC Olainfarm in October 2016 were 8.02 million euros, which represents an increase by 11% compared to the same period of tha last year. The biggest sales increase was achieved in Uzbekistan, where it grew by 220%. Sales to Russia grew by 77%, but sales to Kyrgyzstan grew by 35%. During October 2016, significant shipments were also made to the Netherlands and Germany. The biggest sales markets were Russia, Ukraine, Latvia and Belarus. During October 2016, products of JSC Olainfarm were sold to 22 countries of Europe and Asia.

According to preliminary unconsolidated results, sales of JSC Olainfarm in ten months of 2016 was 74.09 million euros, which represents an increase by 4% compared to ten months of 2015. The most rapid sales increase during this ten months period was achieved in Uzbekistan, where sales grew by 85%. Sales to Lithuania grew by 25%, Sales to Ukraine grew by 24%, but sales to Turkmenistan grew by 23%. The biggest sales markets of JSC Olainfarm in ten months of 2016 were Russia, Ukraine, Latvia and Belarus. In total during this period, products of JSC Olainfarm were sold to 41 countries in four continents.

AGM of JSC Olainfarm held on June 7, this year approved operating plan of the Company and the Group, providing that Company’s sales in 2016 will reach 86 million euros, while Group’s sales will reach 100 million euros. According to these preliminary sales numbers, in ten months of 2016 eighty-six percent of planned annual Company’s sales and 89% percent of planned annual Group’s sales have been attained.

Olainfarm Acquires Medical Company Klinika DiaMed

On November 9th, JSC Olainfarm signed an agreement with Otrais Eko Fonds, Karlis Kupcs and Toms Baumanis whereby it acquired 100% shares in private medical company Klinika DiaMed. According to confidentiality clauses of the said agreement, the value of transaction is not being disclosed at this stage. The transaction will be registered with Latvian Company register within coming days. Liene Cipule will remain the director of Klinika DiaMed Ltd..

“Acquisition of DiaMed is the first step of Olainfarm in sector of health care services. From now on our group will not only provide top quality medicines for people that already need them , but we will also offer products and services targeted at preserving one’s health. This will be a comprehensive approach to health, with both, prevention and treatment. Within a few coming years we plan to increase number of Olainfarm’s health care institutions in Riga and in regions, where we plan to offer health care services including treatment, prevention, rehabilitation and introduction to healthy lifestyle under a supervision of high level specialists,” says Valerijs Maligins, Chairman of the Board of JSC Olainfarm.

Karlis Kupcs, an ex-co-owner of Klinika DiaMed Ltd., its Medical director, Head of Institute of Radiology of P. Stradins University Hospital said: “I am delighted that in ten years Klinika DiaMed from just an idea with one magnetic resonance device on its equipment list has developed into an important and highly valued private medical institution. We have developed a highly qualified team, providing health care services not only to people throughout Latvia, but also to our foreign patients. Jointly with Olainfarm, we could grow faster, improving the scope of our services and their availability to patients “.

Preliminary consolidated results of JSC Olainfarm for September 2016 show that sales of the company have reached 8.21 million euros, which represents an increase by 2% compared to the same period one year ago. The major sales increase has been achieved in Kazakhstan, where sales grew by 281%. Sales to Tajikistan grew by 188%, but sales to Spain grew by 102%. During September, significant shipments have also been made to the UK and Denmark. Major sales markets during this period were Latvia, Russia, Ukraine, The Netherlands and Belarus.

Sixty-two pharmacies were operating during this period. Sales of Silvanols Ltd. in September 2016 were 0.63 million euros, which is an increase by 17% compared to its sales in September of last year. Silvanols Ltd. sold its products to four European countries and with the help of JSC Olainfarm also to Russia, Lithuania and Kazakhstan. Sales of Tonus Elast in September were 0.53 million euros, and the company sold its products to 16 countries in three continents.

According to preliminary consolidated numbers for nine months of 2016, sales of JSC Olainfarm have reached 78.51 million euros, which represents an increase by 8% compared to nine months period of 2015. The biggest sales increase in nine months was achieved in Uzbekistan, where sales grew by 72%. Sales to Turkmenistan and Ukraine grew by 38% each and sales to UK grew by 24%. Major sales markets during this period were Russia, Latvia, Ukraine and Belarus.

Sales of Silvanols Ltd. in nine months of 2016 were 3.68 million euros, which represents an increase by 27% compared to nine months of last year, when Silvanols’ sales were 2.9 million euros. Products of Silvanols Ltd. were sold to eleven European countries and with the help of JSC Olainfarm, also to Albania, Kosovo, Azerbaijan, Kazakhstan, Belarus and Russia. Sales of Tonus Elast Ltd. in four months was 2.66 million euros, its products were sold to 30 countries in four continents.

According to unconsolidated preliminary results, sales of JSC Olainfarm in September 2016 were 6.47 million euro, which represents a reduction by 6% compared to the same period of 2015. The biggest sales increase was achieved in Kazakhstan, where sales grew by 227%. Sales to Tajikistan grew by 188%, but sales to Spain grew by 102%. Significant shipments during this period were also made to the UK and Denmark. Major sales markets of JSC Olainfarm during this period were Russia, Latvia, Ukraine, The Netherlands and Belarus. During September 2016 JSC Olainfarm sold its products in 26 countries in two continents.

LHV Pank To Become a Liquidity Provider For Shares of Olainfarm

Beginning October 3, 2016 LHV Pank will start providing liquidity for shares of JSC Olainfarm in the Official list of NASDAQ Baltic. Since April 2, 2012 JSC Olainfarm was the only Latvian company that had a liquidity provider for its shares. Up until now, the liquidity was provided only by Siauliu Bankas (initially Finasta), since October 3, liquidity will be provided by both, Siauliu Bankas and LHV Pank.

LHV Pank as a liquidity provider for shares of Olainfarm has obliged to maintain both, bid and ask positions, in a certain volume with the certain spread during the trading session. LHV Pank will maintain bid and ask positions for maximum of 15 000 euros per day with the maximum spread of 2.5%. Value of either bid or ask position will not be less than 3000 euros. Investors and existing shareholders of JSC Olainfarm will therefore be given opportunity to sell or buy smaller amounts of shares with less impact on a price of share. It is expected that involving the second liquidity provider will further improve liquidity of shares of JSC OlainFarm.

The biggest sales increase was achieved in Czech Republic, where sales grew by 1866%. Sales to Ukraine grew by 182% while sales to Uzbekistan grew by 147%. During August 2016, JSC Olainfarm also made significant shipments to Brazil, and Germany. The major sales markets in August were Latvia, Russia, Ukraine and Belarus.

Sixty two pharmacies were operating during august 2016. Sales of  Silvanols Ltd. during August 2016 were 0.36 million euro, which represents an increase by 57% compared to August of 2015. Silvanols Ltd. was selling its products in six European countries and with the help of JSC Olainfarm also to Lithuania, Azerbaijan and Russia. Sales of Tonus Elast Ltd. during August 2016 were 0.76 million euros. The company sold its products to 23 countries in four continents.

According to preliminary consolidated numbers, the amount of sales of JSC Olainfarm in eight months of 2016 was 70.35 million euro, which represents an increase by 8% compared to eight months of 2015. The biggest sales increase was achieved in Uzbekistan, where sales grew by 112%. Sales to Poland increased by 75%, while sales to Ukraine increased by 51%. The major sales markets in eight months were Russia, Latvia, Ukraine and Belarus.

AGM of AS Olainfarm held on June 7, this year approved operating plan of the Company and the Group, providing that Company’s sales in 2016 will reach 86 million euros, while Group’s sales will reach 100 million euros. According to these preliminary sales numbers, in eight months of 2016 sixty nine percent of planned annual Company’s sales and 70% percent of planned annual Group’s sales have been attained.

JSC Olainfarm has acquired 24% shares in Belarussian pharmaceutical company NPK Biotest. It is planned that in the nearest future Olainfarm will acquire another 46% shares, thus increasing its holdings to 70%. For the whole 70% share in the company Olainfarm agreed to pay 2.6 million euros. The acquisition will allow JSC Olainfarm to place some of its production processes in Belarus.

“We plan to have NPK Biotest not only as our production platform, helping us and our daughter companies to have easier access to Belarus market, but the acquisition will also add Group’s product portfolio with numerous herbal teas and their mixtures,“ says Valerijs Maligins, Chairman of the Board of JSC Olainfarm.

NPK Biotest is one of the first private pharmaceutical companies in Belarus. Group of scientists of Belarussian Academy of Sciences established it in 1990 in Hrodna. The company now is producing natural herbal medicines and food supplements. Its product portfolio includes more than 100 herbal teas, mixtures and powders. NPK Biotest owns four pharmacies in Hrodna. Company’s sales in 2015 were 2.7 million euros.

Olainfarm Group includes Latvian green pharma company Silvanols, chain of pharmacies of Latvijas aptieka, producer of elastic medical products Tonus Elast and producer of eco-cosmetics Kiwi Cosmetics.

Consolidated profit of Olainfarm in 2015 was 15.3 million euros, which is an increase by 25% compared to 2014 and by 8% compared to 2012, when the previous profit record of 14.2 million was set. Major sales markets of the Group in 2015 were Russia, Latvia, Ukraine, Belarus and The Netherlands.

The following decisions have been adopted by the extraordinary meeting of shareholders:

 1. Election of the Council

1.1. To elect the Council of JSC Olainfarm consisting of the following members for the further term of five years, setting that term of the Council powers commences on August 16th, 2016.

  2. Geliia Gildeeva
  3. Gunta Veismane
  4. Ivars Godmanis
  5. Valentīna Andrējeva.

Voting: the following number of votes has been placed for each candidate:

for V.Andrējeva – 1963247 votes or 20% from the number of present shareholders with voting rights;
for G.Veismane – 1963389 votes or 20% from the number of present shareholders with voting rights;
for A.Raicis – 1963180 votes or 19,997 % from the number of present shareholders with voting rights;
for I.Godmanis – 1963247 votes or 19,998% from the number of present shareholders with voting rights;
for G.Gildeeva – 1963289 votes or 19,998% from the number of present shareholders with voting rights.

Not casted – 37807 votes or 0,38% from the number of present shareholders with voting rights.

1.2. To set the total monthly remuneration of all the Council members at the amount of EUR 11500,00 (eleven thousand five hundred euro).

Voting: the resolution was adopted with the necessary majority of votes.

 

 2. Amendments of the Articles of Association

2.1. To amend Articles of Association of JSC Olainfarm as:

2.1.1. To express article 4. of the Articles of Association as follows:
„4. Management Board
Company’s Management Board consists of seven members of the Management Board. Members of the Management Board are elected by the Council. From among the members of the Management Board a Chairperson of the Management Board is appointed by the Council. Chairperson of the Management Board and three members of the Management Board have unlimited rights to represent the Company separately. Remaining three members of the Management Board have the right to represent the Company only jointly.”

Voting: the resolution was adopted with the necessary majority of votes.

2.1.2. To express article 6.2. of the Articles of Association as follows:
„6.2. Members of the revision commission are elected at the shareholders meeting for 2 (two) years term”.

2.2. To approve the new edition of Articles of Association JSC Olainfarm. To take notice of the Report of the Auditing Committee on activities in 2015.

Sales of Olainfarm in July Increase by 35%

Preliminary consolidated data of JSC Olainfarm for July 2016 shows that sales have reached 10.05 million euros, which represents an increase by 35% compared to the same period of 2015. The biggest sales increase took place in The Netherlands, where sales grew by 151%. Sales to Poland grew by 97%, but sales to Russia grew by 46%. Major sales markets during July were Russia, Latvia, Ukraine, The Netherlands and Belarus.

Sales of pharmacy chain of Latvijas aptieka Ltd. in July 2016 were 1.38 million euros, which represents an increase by 6% compared to the same period one year ago.   Fifty – eight pharmacies were operating during this period. Sales of green pharma company Silvanols during July 2016 were 0.32 million euros, which represents an increase by 100% compared to the same period of 2015. Products of Silvanols Ltd. during this period were sold to three European countries. Producer of elastic medical materials Tonus Elast Ltd. in July 2016 were 0.52 million euros, and its products were sold to 11 countries in three continents.

According to preliminary consolidated data, in seven months of 2016 sales of JSC Olainfarm reached 63.58 million euros, which represents an increase by 9% compared to the same period of one year ago. The most rapid sales increase in seven months was achieved in Uzbekistan, where sales grew by 106%. Sales to Turkmenistan grew by 88%, sales to Ukraine grew by 45% and sales to Belarus grew by 39%. The major sales markets in seven months of 2016 were Russia, Latvia, Ukraine and Belarus.

Sales of pharmacy chain of Latvijas aptieka Ltd. in seven months of 2016 were 10.8 million euros, which represents an increase by 14% compared to the same period one year ago. Sales of green pharma company Silvanols during July 2016 were 2.7 million euros, which represents an increase by 23% compared to the same period of 2015. Products of Silvanols Ltd. during this period were sold to eleven European countries and with mediation of JSC Olainfarm, also to Albania, Kosovo, Azerbaijan, Kazakhstan, Belarus and Russia. Producer of elastic medical materials Tonus Elast Ltd. in two months of 2016 were 1.37 million euros.

According to preliminary unconsolidated figures, sales of JSC Olainfarm in July 2016 were 8.54 million euros, which represents an increase by 28% compared to the same period of 2015. The biggest sales increase was achieved in The Netherlands, where the sales grew by 151%. Sales to Poland increased by 97%, but sales to Turkmenistan increased by 39%. The biggest sales markets were Russia, Ukraine, Latvia, The Netherlands and Belarus. In total, during July 2016, products of JSC Olainfarm were sold to 26 countries in three continents.

According to unconsolidated preliminary figures, in seven months of 2016 sales of JSC Olainfarm were 54.71 million euros, which represents an increase by 6% compared to the same period of 2015. The most rapid sales increase was achieved in Poland, where sales grew by 161%. Sales to Uzbekistan grew by 106% and sales to Turkmenistan grew by 88%. Major sales markets of JSC Olainfarm in seven months of 2016 were Russia, Ukraine, Latvia and Belarus. In total in seven months of 2016 products of JSC Olainfarm were sold to 38 countries in four continents.

General meeting of shareholders of JSC Olainfarm held on June 7, 2016 approved operating plan of the company, providing that unconsolidated sales of the company in 2016 will reach 86 million euros, while consolidated sales of the company will reach 100 million euros. According to these preliminary sales numbers, in seven months of 2016 the company has met 64% of annual target for unconsolidated sales and 64% of annual target for consolidated sales.
